Internal Client Management System (short ICMS)

This ICMS Policy (“Policy”) governs the use of the Internal Client Management System (“ICMS”), Bellmont&Co. LLC’s (“Bellmont&Co,” “we,” “us,” or “our”) proprietary CRM platform, accessible at https://hub.bellmont.co. This Policy applies to all Buyers, Providers, and other categories of clients (“Users” or “you”) who are granted access to ICMS in connection with engagements with Bellmont&Co.
1. Purpose of ICMS
ICMS is Bellmont&Co.’s mandatory client relationship management system used to:
- Manage communications, documentation, and project workflows between Bellmont&Co. and its clients
- Support due diligence, qualification, and onboarding processes for Buyers and Providers
- Track engagement status, deliverables, and milestones
- Facilitate secure document exchange related to introductions, transactions, and ongoing consulting relationships
- Maintain records necessary for compliance, reporting, and quality assurance
2. Mandatory Use
Access to and use of ICMS is a mandatory condition of engagement with Bellmont&Co. for all Buyers, Providers, and other applicable client categories. By entering into an engagement with Bellmont&Co., you agree to:
- Register and maintain an active ICMS account for the duration of the engagement
- Use ICMS as the primary channel for engagement-related communications, documentation, and status updates, unless otherwise agreed in writing
- Keep your ICMS account information accurate, complete, and up to date
Failure to maintain active use of ICMS may affect Bellmont&Co.’s ability to provide services and may constitute a breach of the applicable engagement agreement.
3. User Accounts and Access
- Each User will be issued individual login credentials and must not share these credentials with unauthorized third parties.
- Users are responsible for maintaining the confidentiality of their login credentials and for all activity conducted under their account.
- Users must notify Bellmont&Co. immediately at https://hub.bellmont.co or through official contact channels if they suspect unauthorized access to their account.
- Bellmont&Co. reserves the right to suspend or terminate ICMS access in cases of suspected misuse, security risk, or breach of this Policy.
4. Acceptable Use
When using ICMS, Users agree to:
- Use the platform only for legitimate business purposes related to their engagement with Bellmont&Co.
- Provide accurate and truthful information during onboarding, qualification, and ongoing use
- Refrain from uploading unlawful, fraudulent, infringing, or malicious content
- Refrain from attempting to access data, accounts, or system areas not authorized for their role
- Comply with all applicable laws, including data protection and export control regulations relevant to their jurisdiction and sector
5. Data Submitted Through ICMS
Users may be required to submit information through ICMS, including but not limited to:
- Company and contact details
- Project, product, or capability information
- Due diligence and compliance documentation
- Communications related to introductions and transactions
By submitting information through ICMS, Users represent that they have the right to share such information and that it does not violate any third-party confidentiality obligations.
6. Data Ownership and Usage
- Information submitted to ICMS by Buyers and Providers remains the property of the submitting party, except where otherwise agreed in a separate written agreement.
- Bellmont&Co. may use data within ICMS to facilitate engagements, conduct due diligence, generate internal reports, and fulfill its contractual obligations to clients.
- Bellmont&Co. will not sell User data submitted through ICMS to unrelated third parties.
- Data sharing with transaction counterparties will occur only as reasonably necessary to facilitate introductions or engagements, consistent with our Privacy Policy.
7. Data Protection and GDPR
Where applicable (e.g., Users located in the EEA, UK, or Switzerland), personal data processed through ICMS is subject to our Privacy Policy and applicable GDPR requirements, including:
- Lawful basis for processing (contractual necessity, legitimate interest, or consent, as applicable)
- User rights of access, rectification, erasure, restriction, portability, and objection
- Appropriate safeguards for any international data transfers (e.g., Standard Contractual Clauses)

8. Security
Bellmont&Co. implements reasonable technical and organizational measures to protect data within ICMS, including access controls, encryption where applicable, and monitoring for unauthorized activity. However, no system can guarantee absolute security, and Users are responsible for safeguarding their own credentials and devices.
9. Availability and Support
- Bellmont&Co. will make reasonable efforts to keep ICMS available and functional but does not guarantee uninterrupted access.
- Scheduled maintenance, updates, or unforeseen technical issues may temporarily affect availability.
